Terms of service
How we work together: what you get, what you pay and when, what you own, and what happens if something goes wrong.
This page is a draft that our lawyer is still reviewing. If anything here is unclear, email us before you rely on it.

Who we are and what these terms cover
NexaLance is a trading name of SoroBindu OPC, a company registered in Bangladesh. In these terms, "we" and "us" mean SoroBindu OPC, and "you" means the person or business working with us.
These terms apply when you use this site, ask for a free prototype or hire us for a project or a monthly service. Your written proposal adds the details of your project. If the two say different things, your proposal applies.
Our services and your proposal
We build websites, online stores, apps and AI agents. We also automate business tasks and run marketing, content and monthly care plans.
Every project starts with a written proposal. It sets out the work, the fixed price, the milestones, the dates we agreed on our call and the number of revision rounds. Our agreement starts when you accept the proposal in writing.
We sign an NDA before you share anything sensitive, if you’d like one.
The free prototype
Before you pay anything, we build a working prototype for your business: free, no obligation. You see it, click through it and decide. One free prototype per business; it becomes yours when you go ahead with the project.
If you decide not to go ahead, you owe us nothing.
Prices and change requests
We don’t publish prices. You get a fixed price in writing after the free prototype, before any work starts.
That price covers the work in your proposal. If you ask for something new along the way, that’s a change request. We tell you in writing what it adds to the price and the dates, and we start it only after you agree.
Payments
Builds are paid by milestone (50% to start, 50% at launch; larger work 40/30/30). Monthly plans have no lock-in.
Your proposal says which split applies, what each milestone covers and how to pay. You don’t pay anything on this website.
Who owns the work
Once paid, the code and designs are yours. Your domain, hosting and accounts stay in your name from day one.
At handoff you get short tutorial videos and an admin walkthrough, and every login goes back to you.
Some parts of a project come from other companies, such as Shopify apps, WordPress plugins, themes and fonts. Those parts stay under their owners' own terms.
What you provide
To keep your project moving, we need from you:
- the content for your project, such as text, photos, logos and product details
- access to the accounts we work in, which stay in your name
- feedback and decisions at each milestone
- one person who can make decisions for your business
Your content and your customers
When you send us content, you confirm you have the right to use it. You also let us use it to build your prototype and your project.
If we’re waiting on content, access or a decision from you, the dates may move. We’ll agree new dates with you in writing.
You’re responsible for how your business uses what we build. That includes your own privacy policy and any notices the law requires you to give your customers.
Other companies' services and costs
Your project may need services from other companies. These can include domains, hosting, ad spend on Google or Meta, apps and plugins, AI model usage and phone lines for an AI receptionist.
These third-party costs are separate from our fees. They’re paid to the provider, usually from an account in your name, and the money-back promise doesn’t cover them.
Those companies set their own prices and rules, and they can change them. We don’t control their outages or changes. If one affects your project, we’ll tell you and explain your options.
AI agents and patient data
AI receptionists and chat agents we build tell people they’re talking to an AI, and they can pass calls to a person. They follow the rules on call-recording notices. We never sell AI cold calling.
If your business handles patient data, we confirm the privacy rules and the vendor agreements with you before anything touches that data. Those rules include HIPAA in the US, and GDPR in the UK and the EU.
Care after launch
3 months of free care after every launch: we fix bugs, keep things updated and answer your questions at no charge.
We take a full backup before we touch a live site.
New features and extra pages aren’t part of free care; we quote them as change requests. After the 3 months, you can move to a monthly care plan or look after things yourself.
Our money-back promise
If you’re not happy with what we deliver, tell us within 14 days. We’ll fix it first. If we still can’t make it right, we refund 100% of our fees for that work within 10 business days. Third-party costs (domains, hosting, ad spend, licenses) are not covered. This does not affect your legal rights.
The full policy, including how to ask, is on our refund policy page.

Limits of liability
We do our work with reasonable care and skill. Results like rankings, sales, leads or savings are never guaranteed. They depend on things we don’t control, such as your market and the platforms you use.
We’re not liable for losses we couldn’t reasonably have foreseen when we agreed the work, or for lost profits, revenue or business. Our total liability for any claim about a project is limited to the fees you paid us for that project.
The law doesn’t let anyone limit some kinds of liability, such as for fraud, or for death or personal injury caused by negligence. Nothing in these terms limits those, and nothing in them affects your legal rights as a consumer.
Ending the work
You can end a project at any time by telling us in writing. You pay for the work done up to that day, and we hand over everything you’ve paid for, with every login.
We can end a project if an agreed payment is overdue or if we’re asked to do something unlawful. We’ll tell you in writing first and give you reasonable time to put it right.
Monthly services are month to month: cancel any time. To cancel, email hello@nexalance.com.
If we disagree
Tell us first at hello@nexalance.com, and we’ll work with you to sort it out.
The law that governs our agreement, and the courts that can hear a dispute, are named in your proposal. If you’re a consumer, you keep the rights the law gives you where you live.
Changes to these terms
We may update these terms. The date at the top shows when they last changed. A change doesn’t apply to a project you’ve already agreed with us unless you accept it in writing.
